"Site" means the Aurion Digital Solutions website and its content. "Services" means the AI receptionist, website, advertising, automation, and marketing services Aurion provides under a signed service agreement. These Terms govern the Site. Services are governed by your signed service agreement, which controls in the event of any conflict with these Terms.

Aurion Digital Solutions, LLC ("Aurion," "we," or "us") provides AI receptionist, website, advertising, automation, and social media marketing services for small businesses. The specific deliverables, timelines, and pricing for any engagement are defined in a separate service agreement between you and Aurion.

The Site is provided for informational and lead generation purposes. Descriptions of services are general and do not constitute a binding offer until confirmed in a signed agreement.

Our AI receptionist services use automated systems to answer, route, and respond to telephone calls. These systems are automated and may occasionally misinterpret speech, misroute a call, or record information inaccurately. Clients are responsible for reviewing bookings and messages generated by the system and for maintaining an appropriate human fallback. We do not guarantee that the system will capture every call or every detail correctly.

Where call recording or transcription is enabled, applicable state law may require the consent of all parties to the call. Clients are responsible for ensuring that appropriate call recording disclosures are made at the outset of each call and for complying with all applicable federal and state telephone, recording, and consumer protection laws in every jurisdiction where they operate. Aurion will configure disclosures as directed but does not provide legal advice regarding them.

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of others, restrict their use of the Site, or expose us or our providers to liability. You may not attempt to gain unauthorized access to any part of the Site, its systems, or data.

We may suspend or terminate access for anyone who, in our judgment, violates these Terms or applicable law.

Where you engage us for Services, you represent that you have the authority to grant us access to the phone numbers, calendars, accounts, and customer information involved, and that doing so does not violate any agreement or law binding on you.

All content on this Site, including text, graphics, logos, layouts, and software, is the property of Aurion Digital Solutions, LLC or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any content without our prior written permission.

Trademarks, service marks, and trade names displayed on the Site are the property of their respective owners.

The Site may contain links to third party websites and integrate with third party services. We are not responsible for the content, policies, or practices of those third parties. Your use of any third party site or service is at your own risk and subject to its own terms.

Where you engage Aurion for paid services, the scope, fees, and terms will be set out in a separate agreement. Any payment terms, including due dates and refunds, are governed by that agreement.

All fees, payment schedules, and refund terms are set out in your signed service agreement.

The Site and our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement.

We do not guarantee specific results, revenues, or business outcomes from our services. Any figures or examples are illustrative and not a promise of performance.

Our Services depend on third party providers including telecommunications carriers, hosting providers, and calendar and scheduling platforms. We do not guarantee uninterrupted availability and are not liable for interruptions caused by those providers or by events outside our reasonable control.

To the fullest extent permitted by law, Aurion Digital Solutions, LLC and its affiliates, officers, employees, and partners are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, the Site or our services.

In no event will Aurion's total aggregate liability arising out of or related to the Site or the Services exceed the total fees you paid to Aurion in the twelve months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Aurion Digital Solutions, LLC and its affiliates from any claims, damages, or expenses arising from your misuse of the Site or your violation of these Terms.

These Terms are governed by the laws of the jurisdiction in which Aurion Digital Solutions, LLC is organized, without regard to its conflict of law principles. Any disputes arising under these Terms will be resolved in the courts of that jurisdiction.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

Age. The Site and Services are intended for individuals aged 18 or older acting in a business capacity.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.

Entire Agreement. These Terms, together with any signed service agreement, constitute the entire agreement between you and Aurion regarding the Site.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.

Survival. The Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law sections survive termination.
